A1. Who runs NSEMM
The National Society for Education, Mentoring and Media (NSEMM) is a charitable incorporated organisation, registered with the Charity Commission for England and Wales, no. 1209673. Its trustees run it. They make sure it uses its money and resources only for its charitable purposes, and that it follows its constitution and charity law.
| Trustee | Role |
|---|---|
| Adrian Angol-Henry | Chair of Trustees; Chief Executive Officer; Designated Safeguarding Lead |
| Socks Ansell | Chief Operations Officer (COO) and Chief Education Officer (CEdO); Deputy Designated Safeguarding Lead |
| Mahek Merchant | Secretary; Chief Communications Officer |
| Eniola Arimoro | Trustee |
| Shrutee Prusty | Trustee |
| Amelia Hutton | Lead Trustee for Safeguarding |
Some trustees also work for NSEMM. What trustees may be paid for is in B2.5.
A2. How decisions are made
- Trustee meetings. The trustees make most decisions at trustee meetings. Any trustee can call one, and meetings can be online.
- A meeting can decide when at least 2 trustees, or one third of all trustees if that is more, are there and able to vote. A trustee who cannot vote on an item is not counted for it. With 6 trustees, that is 2.
- The majority decides. The chair has a casting vote.
- Decisions in writing. The trustees can also decide in writing (B6).
- Delegated decisions. The trustees hand some decisions to small groups that include at least one trustee. These are listed in our Scheme of Delegation (B11) and reported back to all trustees.
- Members. NSEMM has members as well as trustees. The members hold the Annual General Meeting (AGM) and elect trustees. Only the members can change the constitution or remove a trustee.
- Conflicts. A trustee with a personal interest in a decision says so, leaves the discussion and does not vote (B2).
A3. Raising a concern about how NSEMM is governed
If you are unhappy about a trustee's conduct, a board decision or how NSEMM is governed, email [email protected]. [email protected] reaches the same inbox. You can also write to the trustees at our postal address (Families and Service Terms, section 9.1).
Every trustee sees that inbox. A trustee who is not named in your complaint deals with it, so don't send a complaint about the Chair to the Chair alone.
Other concerns go elsewhere:
- our lessons and services: Families and Service Terms, section 9;
- a child's safety: the Safeguarding Policy;
- serious wrongdoing: the Whistleblowing Policy.
If you have been through our steps and are still not satisfied, you can complain to the Charity Commission on 0300 066 9197.
Part C. Audience: Everyone (reference)
C1. Law and guidance
- NSEMM's constitution (Association model, last amended 18/08/2024).
- Charities Act 2011, including sections 178 to 180 (who is disqualified from being a trustee).
- The Charity Commission's guidance for trustees and its serious incident reporting guidance.
- The Seven Principles of Public Life (the Nolan principles), written as B1.2.
